Steps to setting up a company in Spain

The following guide is designed to give you an idea of the process that is involved in setting up a company in Spain, and your obligations under this process.

Step	Process	We do	You do
1	Obtain a certificate from Mercantile Registry that the company name you want is not already taken.
2	Open up a bank account in the company's name.
3	Deposit the share capital in the bank account.
4	Prepare the company constitution (Escritura).
5	Arrange a local Notary's appointment for you to sign the Escritura.
6	Obtain a temporary tax code (CIF) from the Tax Office.
7	Pay Stamp Duty at 1% of the initial share capital.
8	Obtain a certificate from the Mercantile Registry that the constitution has been signed.
9	Register your company's trading activity in Spain at the Tax Office.
10	Obtain a final tax code (CIF) for your business by presenting the certificate of constitution at the Tax Office.

We recommend that external investors come to Spain in order to complete the formalities of company formation. If you cannot be present, you will need to delegate the power of attorney to either us, or one of your associates here.
